LIMBERVA RESIDENCY AGREEMENT

LIMBERVA RESIDENCY AGREEMENT - Updated May 14, 2026

This Residency Agreement (“Agreement”) is entered into by and between Limberva LC (“Studio”) and the Resident Instructor (“Resident”).

The Resident operates as an independent instructor conducting yoga and/or wellness instruction within Limberva’s approved studio use. This Agreement does not create a lease, sublease, tenancy, or employment relationship.

1. TERM AND RESIDENCY TIER

The Resident hereby selects the following residency tier:

Standard Residency
Month-to-month access to professional teaching space.

2. RECURRING PAYMENT AND CREDIT CARD ON FILE

Authorization

The Resident authorizes Limberva LC to maintain a valid payment method on file.

Recurring Billing

Residency fees, recurring teaching blocks, and Brand Builder Suite fees (if applicable) will be charged automatically on a recurring basis.

Payment Method

All payments must be processed digitally through the Studio’s approved payment system.

Payment Information

The Resident is responsible for maintaining current and valid payment information to avoid interruption of studio access, scheduling privileges, or Anchor Residency benefits.

3. INSTRUCTIONAL STRUCTURE (THE 90-MINUTE BLOCK)

All teaching blocks are scheduled in 90-minute increments structured as follows:

  • 15-Minute Preparation Period
    Setup and student arrival

  • 60-Minute Instruction Period
    Dedicated teaching time

  • 15-Minute Studio Reset Period
    Mandatory cleaning and reset for the next scheduled instructor

Residents must fully vacate the studio by the end of their scheduled block unless otherwise approved by Limberva.

4. SECURITY DEPOSIT AND DAMAGES

Security Deposit

Recurring Residents are required to maintain a refundable security deposit prior to receiving independent studio access.

The security deposit helps cover:

  • Damage beyond normal wear and tear

  • Lost or misused access credentials

  • Unpaid fees or policy violations

  • Excessive cleaning or repair costs

Damage Responsibility

The Resident is fully responsible for damages caused by themselves, students, guests, collaborators, assistants, or participants during scheduled use of the studio.

This includes damage to:

  • Studio flooring

  • Mirrors

  • Walls and ceilings

  • Bathroom facilities

  • Audio equipment

  • Props, furnishings, and studio equipment

Repair or replacement costs beyond normal wear and tear, as reasonably determined by Limberva, may be deducted from the security deposit or charged separately.

If payment for damages, unpaid fees, or policy violations is not received within 30 days of written notice, Limberva may charge the Resident’s authorized payment method for the outstanding balance.

5. STUDIO CARE AND FLOORING POLICY

To protect the studio’s professional environment and specialized flooring, Residents agree to maintain clean and respectful studio conditions at all times.

General Conduct

Alcohol, smoking, vaping, illegal drugs, and any activity that may damage the facility or disrupt instruction are strictly prohibited.

Food and beverages must be limited to designated areas and handled in a manner that protects studio flooring and equipment.

Footwear Policy

The following are NOT permitted on studio floors:

  • Street shoes

  • Cleats

  • Heeled shoes

  • Hard-soled footwear

The following are permitted:

  • Bare feet

  • Socks

  • Soft-soled dance shoes

  • Clean indoor-only athletic shoes for approved movement or fitness instruction

All outdoor footwear must be removed upon entering the studio.

Prohibited Equipment and Activities

The following are prohibited unless explicitly approved in writing by Limberva:

  • Cleats or hard-soled footwear

  • Tap shoes or metal dance plates

  • Dragging sleds or weighted floor pulls

  • Battle ropes

  • Chalk, rosin, powder, or grip substances

  • Open flames, candles, or incense burning

  • Heavy metal equipment without protective mats

  • Aerial rigging or suspended apparatuses

  • Activities likely to scratch, dent, stain, or puncture flooring or walls

Limberva reserves the right to immediately stop any activity that may damage the facility or create unsafe conditions.

6. INSURANCE AND ACCESS

Insurance Requirement

The Resident must provide a current Certificate of Insurance (COI) showing:

  • $1,000,000 Professional Liability Coverage

Coverage must remain active throughout the duration of residency.

Studio Access

Upon confirmation of payment, security deposit, and insurance documentation, the Resident will receive a unique digital key code for independent access during scheduled preparation and teaching windows only.

Residents may not share access credentials with any other individual.

7. SCHEDULING, CONDUCT, AND TERMINATION

Repeated late cancellations, no-shows, misuse of access credentials, or failure to maintain studio standards may result in suspension or termination of residency privileges.

Either party may terminate this Agreement with 30 days’ written notice.

Limberva reserves the right to terminate residency immediately for:

  • Failure to maintain required insurance

  • Serious policy violations

  • Unsafe conduct

  • Misuse of the facility

  • Repeated operational or cleanliness issues
